IN NO EVENT SHALL AZOPTION HK'S DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS BE LIABLE FOR LOST PROFITS, LOST SALES, LOST BUSINESS, LOST OPPORTUNITY, LOST INFORMATION, LOST OR WASTED TIME OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF, OR IN CONNECTION WITH, THIS AGREEMENT.
IT IS EXPRESSLY UNDERSTOOD AND AGREED TO BY THE PARTIES HERETO THAT EXCEPT AS SPECIFICALLY PROVIDED HEREIN, ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE HEREBY EXCLUDED.
You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service.
You recognize and agree that you have no rights in or to, the whole, or any part of, the trade names "AZOPTION HK", AZOPTION HK, the AZOPTION HK logo, AZOPTION HK components or processes, software or data and you will not, except as otherwise permitted by this Agreement while it is in effect, disclose, make use of or otherwise infringe upon the intellectual property or any derivatives thereof, it being specifically understood that the intellectual property is owned solely and exclusively by AZOPTION HK or its licensors. You hereby acknowledge that the market data information provided is the property of the various exchanges and other information providers and therefore subject to modifications from the sources and controlled by all copyright and other interests maintained by the data sources. You agree that upon any violation of this covenant, AZOPTION HK shall suffer irreparable harm and shall be entitled to injunctive relief against any further violation, in addition to any other damages to which AZOPTION HK may be entitled. This covenant is independent of any other covenant, term or condition of this Agreement and shall survive the expiration or termination of this Agreement, it being understood that but for the giving of this covenant, AZOPTION HK would not have entered into this Agreement.
Except as explicitly stated otherwise, any notices shall be given via our feedback form (in the case of AZOPTION HK) or to the email address you provided during the registration process (in your case), or such other address as the party shall specify. Notice shall be deemed to be given 24 hours after the email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give notice by certified mail, postage prepaid and return receipt requested, to the address provided to us during the registration process. In such case, notice shall be deemed to be given 3 Business Days after the date of mailing.
You hereby agree to indemnify, defend and hold AZOPTION HK, its affiliates, and its distribution partners and their officers, directors and employees harmless for all liability, claims, damages and costs, including, without limitation, reasonable legal fees, arising out of or in connection with a breach of your obligations, representations and warranties provided in this Agreement. You also agree to hold AZOPTION HK harmless for all liability, claims, damages and costs, including reasonable legal fees, arising out of or in connection with any errors, malfunctions or defects in connection with the AZOPTION HK.
Any delay or failure in the performance by AZOPTION HK hereunder shall be excused if and to the extent caused by the occurrence of a Force Majeure. For purposes of this Agreement, Force Majeure shall mean a cause or event that is not reasonably foreseeable or otherwise caused by or under the control of the Party claiming Force Majeure, including acts of God, fires, floods, explosions, riots, wars, hurricane, sabotage terrorism, vandalism. accident, restraint of government, governmental acts, injunctions, labor strikes, and other like events that are beyond the reasonable anticipation and control of the Party affected thereby, despite such AZOPTION HK's reasonable efforts to prevent, avoid, delay, or mitigate the effect of such acts, events or occurrences, and which events or the effects thereof are not attributable to a AZOPTION HK's failure to perform its obligations under this Agreement.
Either party, upon 10 days written notice to the other party, may terminate this Agreement without cause. This Agreement may be terminated immediately by us, without notice, if you fail to comply with this Agreement. We may also terminate this Agreement immediately if AZOPTION HK discontinues operation of this website.
You may not assign, in whole or in part, any of your rights or obligations under this Agreement, without the written consent of AZOPTION HK.
If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, or any of the provisions hereof, the prevailing party therein shall be entitled to recover from the non-prevailing party, in addition to any other relief to which such prevailing party may be entitled, reasonable legal fees, costs and necessary disbursements.
AZOPTION HK reserves the right to modify the terms and conditions of this License Agreement and to terminate customer's access to and use of AZOPTION HK delivered data at any time and without prior notice.
